Terms of Service

1. About Run of Shows

Run of Shows is a software platform designed to help users create, manage, share and operate rundowns, cues and related information for events and live productions.

Run of Shows is owned and operated by One Creative FZ LLC, a company registered in Fujairah Creative City Free Zone, United Arab Emirates, with a business address at Marina Plaza, Dubai Marina, Dubai, United Arab Emirates.

These Terms apply to:

  • the Run of Shows marketing website at RunOfShows.com;
  • the Run of Shows web application at RunOfShows.app; and
  • any related Run of Shows services, features, subscriptions, purchases or functionality.

For the purposes of these Terms, references to "Run of Shows," "we," "us," "our," or "the Company" refer to the legal operator of the Run of Shows service, as applicable.

By creating an account, purchasing a plan or Event Credit, accessing the platform, using either Run of Shows domain, or otherwise using Run of Shows, you agree to these Terms of Service.

If you use Run of Shows on behalf of a company, organisation or other entity, you confirm that you have authority to accept these Terms on its behalf.

2. Eligibility and legal capacity

Run of Shows may be used by individuals, professionals, companies and organisations.

You must have the legal capacity required under applicable law to enter into these Terms. If you do not have full legal capacity, your use of Run of Shows must be authorised by a parent, guardian or other person legally entitled to act on your behalf.

3. Accounts and account security

You are responsible for:

  • providing accurate account information;
  • maintaining the confidentiality of your login credentials;
  • protecting access to your account;
  • ensuring that authorised users use the platform appropriately; and
  • all activity carried out through your account unless caused directly by a security failure attributable to Run of Shows.

You must notify us promptly at support@runofshows.app if you believe your account has been accessed without authorisation.

We may require email verification or other reasonable security measures before allowing access to certain features.

4. User roles and team access

Run of Shows may allow account owners to invite other users and assign roles such as Owner, Show Caller, Contributor or other available roles.

The account owner is responsible for:

  • deciding who is invited;
  • assigning appropriate permissions;
  • removing access when it is no longer required; and
  • ensuring invited users are authorised to access the relevant event information.

Run of Shows is not responsible for access granted by an account owner or authorised administrator to an unintended person.

5. Plans and Event Credits

Run of Shows may offer Monthly Subscriptions, Single Event Passes, Extra Event Top-Ups, free trials, promotional access or other plans displayed on the Pricing page, within RunOfShows.app, or during checkout.

Monthly Subscription

A Monthly Subscription currently includes 4 Event Credits per billing period.

Subscription Event Credits:

  • are available only during the applicable subscription billing period;
  • do not roll over into the next billing period;
  • reset at renewal; and
  • are not preserved when a subscription is paused.

Single Event Pass

A Single Event Pass provides 1 Event Credit.

Unless otherwise stated at purchase, a Single Event Pass Event Credit is valid for one year from the date of purchase or until it is used, whichever occurs first.

Extra Event Top-Up

Each Extra Event Top-Up provides 1 Event Credit.

Users may purchase multiple Extra Event Top-Ups.

Unless otherwise stated at purchase, each Top-Up Event Credit is valid for one year from the date of purchase or until it is used, whichever occurs first.

Single Event Pass and Extra Event Top-Up credits remain available during a subscription pause, subject to their applicable expiry dates.

Using an Event Credit

When an Event Credit is used to unlock an event, that credit is considered consumed and cannot be transferred back to the account or reused for another event.

An unlocked event may contain up to 7 Run of Show rundowns, subject to the functionality and limits displayed in the platform.

Event Credits are personal to the relevant account and may not be transferred between separate accounts unless Run of Shows expressly allows otherwise.

We may update plan features, limits and pricing from time to time. Changes will not retrospectively reduce an Event Credit that has already been purchased and used, except where required for security, legal or technical reasons.

6. Pricing, VAT and payment

Prices are displayed in the currency shown at checkout, which may include AED, SAR, USD or another supported currency depending on location or payment configuration.

Displayed prices include applicable VAT where required and as indicated at checkout.

Payments are processed securely by third-party payment processors.

Run of Shows does not directly store your full payment card number or complete payment-card details.

By submitting a payment, you authorise the applicable payment provider to charge the amount shown at checkout and, in the case of a recurring subscription, future recurring subscription charges until the subscription is cancelled, paused or otherwise terminated.

7. Automatic renewal

Monthly Subscriptions automatically renew at the end of each billing period unless cancelled or paused in accordance with the options available through your account.

The applicable subscription fee will be charged using the payment method associated with your account.

You are responsible for keeping your billing and payment information current.

8. Failed payments and grace period

If a Monthly Subscription renewal payment fails, Run of Shows may provide a 48-hour grace period.

During this grace period, full subscription access may continue while payment is retried or updated.

If payment is not successfully completed within the grace period, the subscription may end and affected events or features may become restricted or View Only.

Run of Shows is not responsible for restrictions resulting from expired cards, insufficient funds, payment-provider rejection or other payment failures outside our reasonable control.

9. Pausing a subscription

Where the pause feature is available, a Monthly Subscription may be paused for up to 12 months.

When the pause takes effect:

  • subscription-based Event Credits are not preserved;
  • existing affected Run of Shows may become View Only;
  • editing, Go Live, sharing or team features may be limited or disabled according to the current plan rules; and
  • separately purchased Single Event Pass or Extra Event Top-Up credits remain available until their individual expiry dates.

The application will display the applicable consequences before a pause is confirmed.

10. Cancellation and refunds

You may cancel a Monthly Subscription through the available account or billing controls.

Unless otherwise stated, cancellation takes effect at the end of the current paid subscription period.

All purchases and payments are final and non-refundable, including:

  • Monthly Subscription payments;
  • Single Event Passes;
  • Extra Event Top-Ups;
  • unused Event Credits;
  • partially used subscription periods; and
  • Event Credits already used to unlock an event.

No refund, partial refund or account credit will be provided solely because a user did not use the service, did not use all Event Credits, cancelled an event, changed production plans or stopped using Run of Shows.

This policy applies except where a refund or other remedy is required by applicable law.

11. Trials and promotional access

Run of Shows may offer free trials, promotional access, promotional pricing or limited-access plans.

Trial and promotional terms may differ from paid plans and may include restrictions on features such as Go Live, editing, sharing, team invitations or other functionality.

We may modify or withdraw a trial or promotional offer at any time, subject to applicable law and any specific terms communicated when the offer was accepted.

12. Guest Pass links

Run of Shows may allow you to generate a Guest Pass or other sharing link that provides read-only access to a rundown without requiring the viewer to create an account or log in.

Anyone who possesses an active Guest Pass link may be able to access the information available through that link.

You are responsible for:

  • deciding who receives a Guest Pass link;
  • protecting the link from unintended distribution;
  • ensuring the linked rundown does not contain information that should not be available to recipients;
  • revoking or disabling the link when access is no longer appropriate; and
  • complying with any confidentiality, privacy or contractual obligations relating to information you share.

Run of Shows is not responsible for a Guest Pass link being forwarded, copied, photographed, recorded or otherwise shared by a person to whom you or another authorised user provided access.

13. Your content

You retain ownership of the rundowns, cue sheets, scripts, event information, images, logos and other content you create or upload to Run of Shows ("User Content").

You grant Run of Shows a limited, non-exclusive, worldwide licence to host, store, reproduce, process, transmit, synchronise, back up and display your User Content only to the extent reasonably necessary to provide, maintain, secure and improve the service and provide access to users you authorise.

This licence does not transfer ownership of your User Content to Run of Shows.

You represent and warrant that:

  • you own your User Content or have all permissions necessary to use and upload it;
  • uploading or sharing it through Run of Shows does not violate another person's intellectual property, privacy, confidentiality or other legal rights; and
  • you have any permissions required to provide personal information relating to performers, speakers, crew members, employees, suppliers, clients or other individuals.

14. Sensitive information

Run of Shows is designed for show and event production information and is not intended to function as a repository for highly sensitive personal information.

You should not use the platform to store information such as:

  • passwords or authentication credentials;
  • full payment card details;
  • bank-account credentials;
  • government identification documents;
  • medical records;
  • highly sensitive financial records; or
  • other information that is unnecessary for operating an event and would create significant risk if disclosed.

You are responsible for deciding what information is appropriate to include in your rundowns and shared links.

15. Acceptable use

You must not use Run of Shows to:

  • violate applicable law;
  • infringe intellectual property or other legal rights;
  • upload malicious code, malware or harmful content;
  • interfere with or disrupt the platform or live synchronisation;
  • attempt to gain unauthorised access to accounts, databases, systems or infrastructure;
  • test or probe platform security without written authorisation;
  • impersonate another person or organisation;
  • use another person's account without permission;
  • distribute unlawful, fraudulent or intentionally harmful content;
  • scrape or systematically extract platform content except through functionality we expressly provide;
  • reverse engineer, decompile or attempt to derive source code except where applicable law expressly permits it; or
  • use Run of Shows in a manner that materially affects the service for other users.

16. Suspension and termination

We may suspend, restrict or terminate an account or specific feature where reasonably necessary because of:

  • failed or unpaid payments;
  • fraud or suspected fraud;
  • security threats;
  • abusive behaviour;
  • illegal activity;
  • intellectual property infringement;
  • misuse of the service;
  • attempts to disrupt the platform;
  • a material breach of these Terms;
  • legal or regulatory requirements; or
  • a need to protect Run of Shows, its users or third parties.

Where reasonably possible, we will provide notice before a suspension or termination unless immediate action is required for security, legal or operational reasons.

17. Live-show use and mandatory contingency planning

Run of Shows is a production management and show-calling tool. It must not be treated as the sole operational contingency system for a live event.

Live productions involve technical, network, device, venue, power, communications and operational risks that may occur outside the control of Run of Shows.

Before every live show, rehearsal or other time-critical production, you are responsible for maintaining an independent and usable backup of the information required to operate your event.

This should include exporting or otherwise preserving an offline copy of your current Run of Show, such as a PDF, Excel file or other available export format, where such export functionality is available.

You are also responsible for maintaining reasonable show-day contingency procedures appropriate to your production.

You must not rely exclusively on continuous access to Run of Shows during a live event.

A backup should be prepared sufficiently in advance to allow the show or production to continue if Run of Shows, your device, internet connection, venue network, browser, third-party infrastructure or another dependency becomes unavailable.

18. Availability and service interruptions

We aim to provide a reliable service, particularly during live events, but we do not guarantee that Run of Shows will be uninterrupted, error-free or continuously available.

Run of Shows does not provide a guaranteed service-level agreement or guaranteed uptime percentage unless expressly agreed in a separate written agreement.

The service may be interrupted or affected by:

  • planned or emergency maintenance;
  • software errors;
  • internet or network failures;
  • power outages;
  • device or browser failures;
  • third-party infrastructure or service providers;
  • telecommunications providers;
  • cybersecurity incidents;
  • force majeure events; or
  • circumstances outside our reasonable control.

We may make emergency changes or temporarily restrict features where necessary to protect service security or stability.

19. No warranty

To the maximum extent permitted by applicable law, Run of Shows is provided on an "as available" and "as is" basis.

We do not warrant that:

  • the service will always be available;
  • every error will be corrected immediately;
  • live synchronisation will always occur without delay;
  • the service will operate on every device, browser or network;
  • stored information will never be lost or corrupted; or
  • the service will meet every production's specific operational requirements.

Nothing in these Terms excludes warranties, protections or rights that cannot lawfully be excluded.

20. Limitation of liability

To the maximum extent permitted by applicable law, Run of Shows will not be liable for indirect, incidental, special, consequential or economic losses arising from or relating to use of the service.

This includes, without limitation:

  • cancellation, interruption or delay of an event;
  • production failure;
  • missed or incorrect cues;
  • show stoppage;
  • loss of revenue, profit or commercial opportunity;
  • venue costs;
  • performer, crew, supplier or production costs;
  • reputational loss;
  • loss resulting from unavailable internet, power, devices or venue infrastructure;
  • loss resulting from third-party services;
  • loss resulting from failure to maintain a show-day backup;
  • unauthorised disclosure caused by a Guest Pass being shared by an authorised recipient; or
  • loss or corruption of User Content.

Run of Shows is not responsible for operating your show, making production decisions on your behalf, or replacing the professional judgment and contingency planning of the show caller, director, producer, technical team or other production personnel.

Where Run of Shows is found legally liable despite these limitations, our aggregate liability arising from the relevant event or circumstances will, to the maximum extent permitted by law, be limited to the amount actually paid for the affected event or, for a Monthly Subscription claim not attributable to a specific purchased Event Credit, the subscription fees actually paid during the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

21. Third-party services

Run of Shows may rely on third-party service providers for functions including:

  • hosting and cloud infrastructure;
  • databases and data storage;
  • payment processing;
  • email delivery;
  • monitoring;
  • security;
  • analytics;
  • communications; and
  • other services necessary to operate, maintain or improve the platform.

We are not responsible for the independent acts, omissions, outages or service failures of third-party providers beyond the extent required by applicable law.

Use of some third-party services may also be subject to their own applicable terms and privacy practices.

22. Run of Shows intellectual property

The Run of Shows platform, including its software, interface, visual design, databases, documentation, workflows, product features, text, graphics, logos and branding, is owned by or licensed to Run of Shows and is protected by applicable intellectual-property laws.

Your use of the platform does not transfer ownership of any Run of Shows intellectual property to you.

You receive only a limited, non-exclusive, non-transferable and revocable right to use Run of Shows in accordance with these Terms.

23. Changes to the service

We may develop, modify, replace, remove or introduce features from time to time.

We may also make reasonable changes necessary for security, performance, legal compliance, technology changes or product development.

Where a change materially affects an active paid service, we will take reasonable steps to communicate the change where appropriate.

24. Changes to these Terms

We may update these Terms from time to time.

The updated version will be published with a revised "Last updated" date.

Where changes materially affect your rights or obligations, we may provide additional notice through the platform or by email.

Your continued use of Run of Shows after updated Terms become effective constitutes acceptance of those Terms, subject to applicable law.

25. Governing law and jurisdiction

These Terms and any dispute arising from or relating to Run of Shows are governed by the applicable federal laws of the United Arab Emirates.

Subject to any mandatory rights available under applicable law, the competent courts of the United Arab Emirates shall have jurisdiction over disputes arising from or relating to these Terms or the use of Run of Shows.

26. General provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

Our failure to enforce a provision immediately does not waive our right to enforce it later.

You may not assign your rights or obligations under these Terms without our written consent. We may assign or transfer our rights and obligations as part of a corporate restructuring, sale, merger or transfer of the Run of Shows business, subject to applicable law.

These Terms, together with the Privacy Policy and any specific terms presented during purchase, constitute the agreement governing your use of Run of Shows.
